FodderSafe Terms and Conditions of Use

*FodderSafe is owned by Digital Agri Solutions Pty Ltd ABN 95 660 452 317 (DAS).

A. Right to use

A.1

Subject to the following terms and conditions you are granted a non-exclusive right to use this website solely for your own purposes and not for the provision of a service to another person.

B. Your obligations

B.1

You hereby undertake not to:

(a)

copy, reproduce, translate, adapt, vary, modify, decompile, disassemble, reverse engineer, create derivative works of, modify, sub-license, rent, lease, loan or distribute any part of this website other than as expressly authorised by these terms and conditions;

(b)

provide or otherwise make available this website in whole or part in any form to any person;

(c)

use this website for any illegal, unauthorised or dangerous purpose;

(d)

transfer, assign, sell to or share with any other person any right under these terms and conditions without the prior written consent of FodderSafe; and

(e)

permit any act which infringes the intellectual property rights which subsist in this website and its associated services

B.2

You hereby undertake to:

(a)

supervise and control the use of this website in accordance with these terms and conditions;

(b)

ensure that your officers and employees who have authorised access to this website are made aware of these terms and conditions;

(c)

advise FodderSafe in writing within seven days of you becoming aware of any person using this website who is not licensed by FodderSafe to do so;

(d)

keep your password and user account details confidential and not disclose same to any other party. Should any such disclosure occur you shall report same to FodderSafe by email as soon as possible; and

(e)

be responsible for all use of this website whether authorised by you or not.

C. Support and other Subscription services

C.1

FodderSafe may, from time to time, make available support and other subscription services. Should you wish to use such services then you agree to pay the then published rates of FodderSafe in relation to such services which are supplied pursuant to these terms and conditions.

C.2

Your subscription will be automatically renewed at the end of each subscription period unless you inform us that you do not wish to renew the subscription. The subscription fee will be charged to the payment method or Credit Card last used by you. If you would like the payment for the renewal to be made through a different payment method or Credit Card or if you do not wish to renew the subscription, you agree to inform us at least seven days prior to the renewal date. DAS reserves the right, upon 14 days’ notice, to change the subscription fee and to charge for use of Services that are currently available free of charge. You may terminate your subscription prior during this 14 day period prior to the pricing changes taking effect. You will not be charged for using any Service unless you have opted for a paid subscription plan.

C.3

We may modify the terms of subscription services and these terms and conditions upon notice to you at any time. You will be provided notice of any such modification by electronic mail or by publishing the changes on the website at www.foddersafe.au.
For any changes that may cause you material detriment, we will give you at least 30 days’ written notice via email before the variation takes effect. You may terminate your subscription and your use of the services by giving us written notice during this 30-day period.
Your continued use of the service after notice of any change to the terms will be deemed to be your agreement to the amended terms.

D. Disclaimer and acknowledgements

D.1

You acknowledge that:

(a)

FodderSafe incorporates information as provided by third parties without checking the accuracy of that information. FodderSafe is not responsible for, does not endorse and makes no representations either expressly or impliedly concerning such third party information. You rely on such third party information entirely at your own risk;

(b)

FodderSafe is not responsible for the accuracy of the information supplied nor the results of any additions or amendments to the information;

(c)

This website contains certain instructions and a failure to follow these instructions carefully could result in erroneous information being provided by this website;

(d)

You should check all information provided by this website for any anomalies;

(e)

Where information is supplied, imported or synchronised from third-party systems, DAS does not control the accuracy, completeness, timeliness or availability of that information or those third-party systems. You should review imported or synchronised information and notify DAS or the relevant third-party provider of any anomalies; and

D.2

This website is made available to you on the understanding that subject to the warranties below, FodderSafe is not responsible for the results of any actions taken, either by you or a third party, relying on information supplied or not supplied by this website and any material found on it.

E. Limited warranty

E.1

FodderSafe shall supply all services with all due care and skill.

E.2

FodderSafe shall re-supply any services which are not provided with due care and skill provided that you notify FodderSafe of same within a reasonable time from the supply of the services.

E.3

This remedy shall be your sole and exclusive remedy for breach of these terms and conditions or any other cause of action against FodderSafe.

F. Exclusions and limitation of liability

F.1

This website and all associated services are provided as is and all warranties whether express, implied, statutory or otherwise, relating in any way to the subject matter of these terms and conditions or generally are excluded.

F.2

FodderSafe cannot and does not warrant that FodderSafe will be available 24 hours a day or that any fault will be corrected within a specific time frame.

F.3

While DAS will use reasonable endeavours to ensure that the information, alerts and functionality is accurate, DAS and/or affiliated exporter companies do not make any representation or warranty that any material on FodderSafe will be reliable, accurate or complete, nor do DAS and/or affiliated exporter companies accept any responsibility arising directly or indirectly in any way from errors or omissions. By using FodderSafe’s services, you acknowledge that you use FodderSafe at your sole risk.

Except where expressly stated otherwise, material on FodderSafe is provided for record keeping purposes only. It is not intended as advice and must not be relied upon as such. You should make your own inquiries and take independent advice tailored to your specific circumstances prior to making any decisions.

F.4

Where any legislation implies in these terms and conditions any term, and that legislation avoids or prohibits provisions in a contract excluding or modifying such a term, such term shall be deemed to be included. However, the liability of FodderSafe for any breach of such term shall, if permitted by that legislation, be limited at FodderSafe’s option to any one or more of the following: If the breach related to goods: the replacement of the goods or the supply of equivalent goods; the repair of such goods; the payment of the cost of replacing the goods or of acquiring equivalent goods; or the payment of the cost of having the goods repaired. If the breach relates to services: the supplying of the services again or the payment of the cost of having the services supplied again.

F.5

Except for personal injury (including sickness and death) and the limited warranty and to the maximum extent permitted by law, FodderSafe shall not be under any liability (contractual, tortious or otherwise) to you in respect of any loss or damage (including, without limitation, consequential loss or damage) howsoever caused, which may be suffered or incurred or which may arise directly or indirectly in respect of the supply of goods or services pursuant to these terms and conditions or the action, failure or omission of FodderSafe.
If you do suffer loss or damage of any kind in connection with your use of FodderSafe, you must immediately take all available steps to minimise any such loss or damage. FodderSafe will not be liable under this agreement for any liability that is caused by your breach of this Agreement, or your negligent act or omission, or in relation to any delay in performance or breach of this Agreement by FodderSafe which arises as a result of any matter which is beyond FodderSafe’s control.

G. Termination

G.1

You may at any time cease to use this website.

G.2

FodderSafe may with 30 days notice cease to provide this website or any other services.

G.3

FodderSafe will provide users with the ability to download stored data using FodderSafe applications.

G.4

We reserve the right to terminate unpaid user accounts that are inactive for a continuous period of 120 days. In the event of such termination all data associated with such use accounts will be deleted. Such termination does not relieve you of your liability to pay fees up to the effective time of termination and does not relieve either party of their respective accrued obligations and liabilities pursuant to this Agreement which may be enforced before or after termination.

H. Fees

H.1

Except as stated expressly to the contrary, the fees payable for the use of some FodderSafe services are typically fees paid by our subscribing exporter companies/industry body and not passed on to their contracted fodder growers. DAS does provide fodder grower applications such as FodderSafe for Grower which is billable directly to the fodder grower user. The fee for use of such applications can be provided by contacting directly DAS.

H.2

Fees do not include any taxes, charges, levies or duty which may be payable on the supply of such goods and services including without limitation any GST, stamp duty or otherwise.

H.3

To the extent permitted by law, you are responsible for such taxes, charges, levies and duties and where applicable in accordance with relevant law, you shall pay the same to FodderSafe upon request.

H.4

FodderSafe reserves the right to suspend the provision of services unless its accounts are promptly paid.

I. Indemnify

I.1

You hereby indemnify FodderSafe fully against all liabilities, taxes, costs (on a solicitor and own client basis) and expenses which FodderSafe may incur to a third party as a result of your breach of any of these terms and conditions.

J. Privacy

J.1

Introduction

At DAS (owners and operators of FodderSafe), we recognise that it is important for you to know how we deal with your personal information. This Internet Privacy Statement sets out our general policies on the handling of personal information on the Internet.

We appreciate that you may have concerns about your privacy and about the confidentiality and security of information we may gain about you on-line. DAS is committed to keeping that information secure. Information is only collected if requested by the FodderSafe contracted exporters to which you supply your fodder or if it is necessary to deliver you with the best possible service, and to enhance the Web Site.

J.2

What information, including personal information, is collected?

DAS provides registered users with secure access to information transferred to us by the exporter company to whom they supply fodder, by the user directly, or by other authorised parties. Typically, this information may include spray activity, MRL, paddock or field information, and other records required to provide FodderSafe services.

DAS may also collect, import, synchronise and store information from authorised third-party systems used by a registered user, grower, exporter, business or organisation. This may include farm, paddock, field, crop, spray diary, chemical application, product, production, compliance, MRL and related operational records. Third-party system information is collected only where authorised by the relevant user, grower, exporter, business, organisation or account holder, and is used to provide FodderSafe services, including record keeping, compliance checks, reporting, data synchronisation, integration support and related functionality.

DAS stores this information for the period of time required to provide the information and services contracted by the exporter company, registered user, subscriber, business or organisation, or as otherwise required for legal, operational, audit, compliance or record keeping purposes.

This information is kept strictly confidential and is protected from unauthorised access by a range of secure procedures, facilities and technology.

If you contact us by email through this site, we will keep a record of your email address and any information provided to us in that email, but will only use it for the purpose for which it was provided. We may provide our own regular newsletter service sent to your email address. You may unsubscribe from this service at any time.

If you visit our site to browse, read or download information, our system may log these movements. Information collected may include:

1. your server address;

2. your top level domain name, for example .com, .gov or .au;

3. the date and time of your visit to the site;

4. the pages you accessed and documents downloaded; and

5. the type of browser you are using.

On occasion, we may provide your individual usage information to the exporter companies that you supply, or to the organisation that manages or pays for your access to FodderSafe. This usage information may identify you and may include information such as your access to FodderSafe, use of FodderSafe functions, records entered, documents accessed, and other activity reasonably required for exporter company administration, compliance, support, audit, reporting or service delivery. This information will not be made available to any other party unless authorised by you, required to provide FodderSafe services, or required by law. Access to and Updating information collected and Unsubscribing from our service

If at any time you wish to know what personal information DAS is holding about you or if you wish to establish that the information which we hold is accurate, incomplete or out-of-date, or you wish to unsubscribe from our web, email, SMS, push notification or other communications services, you may contact DAS by e-mailing us at admin@foddersafe.au or by writing to the DAS Operations Manager, 21-23 Aristoc Road, Glen Waverley VIC 3150.

We will take all reasonable steps to either supply the information or to correct the information so that it is accurate, complete and up-to-date.

J.4

Use of information collected

The information collected may be used by DAS to provide, support, maintain, improve and develop FodderSafe and related DAS services.

Where information is imported or synchronised from third-party systems, including farm management or spray diary platforms, DAS will use that information only for the purpose for which access was authorised, including record keeping, compliance checks, reporting, data synchronisation, integration support, and related FodderSafe functionality.

DAS may use, commercialise, supply, licence or provide aggregated and de-identified farm, spray diary, crop, chemical usage, MRL, compliance, seasonal or regional data to industry bodies, research organisations, government bodies, commercial partners or other third parties, provided that personal information, individual users, individual businesses and individual farms cannot reasonably be identified.

DAS will not sell, resell, licence, disclose or provide third-party imported data in the form received from those third-party systems to unrelated third parties, except where authorised by the relevant user, business, exporter, grower or account holder, or where required by law.

Your e-mail address will only be used for the purpose for which you have provided it and will not be provided to any third parties or used for any other purpose without your consent.

This site provides facilities for the secure transmission of information across the Internet. Users should be aware that there are inherent risks in transmitting information across the Internet.

J.5

What are Cookies and how do we use them

A cookie is a small data file that contains information about your visit to a Web site. This is generated by a software application on a site’s server in a text file, and stores this file on your computer. A cookie only identifies your computer to a web server when you visit the site; they do not identify users. Most browsers now recognise when a cookie is offered.

FodderSafe writes cookies to your computer’s memory for the duration of your session only.

If you are concerned about cookies you can reset your browser to refuse cookies or to warn you before accepting cookies. We generally use cookies to help us improve our service to you the next time you visit our site.

K. Waiver

K.1

Failure or neglect by FodderSafe to enforce at any time any of the provisions of these terms and conditions shall not be construed or deemed to be a waiver of FodderSafe’s rights under this terms and conditions.

L. Severability

L.1

If any provision of these terms and conditions is held invalid, unenforceable or illegal for any reason, these terms and conditions shall remain otherwise in full force apart from such provision or part provision, which shall be deemed deleted.

M. Entire agreement

M.1

These terms and conditions constitute the entire agreement between the parties for the subject matter referred to in these terms and conditions.

M.2

Any prior arrangements, agreements, representations or undertakings are superseded.

M.3

These terms and conditions may only be modified by FodderSafe issuing a new set of terms and conditions which it may do so on 30 days’ notice.

N. Governing law

N.1

The use of this website and any associated services shall be governed by and construed according to the law of the State of Victoria, Australia.

N.2

You hereby irrevocably submit to the exclusive jurisdiction of the Courts of Victoria, Australia.
